1031 Exchange Frequently Asked Questions
What property qualifies for a 1031 Exchange? Real property held for investment or business use generally qualifies, provided the replacement property is also held for investment or business use and is considered "like-kind." Personal residences do not qualify.
What are the 45-day and 180-day deadlines? From the closing date of your relinquished property, you have 45 calendar days to formally identify potential replacement properties, and 180 calendar days total to close on the replacement. Both deadlines run concurrently and are not extended for weekends or holidays.
Do I need a Qualified Intermediary? Yes. A Qualified Intermediary (QI) must hold the sale proceeds between the relinquished sale and the replacement purchase — an investor cannot take receipt of the funds directly without disqualifying the exchange. Your QI should be engaged before your relinquished property closes.
Can I exchange into a different type of property? Often, yes. "Like-kind" is interpreted broadly for real property — for example, exchanging retail for industrial, or raw land for a net-leased investment, can qualify. Your tax advisor should confirm your specific transaction meets like-kind requirements.
What happens if I miss a deadline? Missing either the 45-day identification window or the 180-day close generally disqualifies the exchange, making the transaction fully taxable. This is why timeline coordination — lining up replacement property search, due diligence, and closing — matters as much as finding the right property.
